These Terms and Conditions ("Terms") govern the use of digital marketing services provided by CRID Marketing ("Company", "we", "us") to clients ("Client", "you"). By engaging our services or purchasing a plan through cridmarketing.com, you agree to be bound by these Terms.

1. Services

CRID Marketing provides professional digital marketing services including paid advertising management (Meta Ads, Google Ads), social media management, content creation, video editing, search engine optimization, and related services as described in the selected service plan.

2. Service Plans and Payments

• All plans are offered on a monthly retainer basis and billed in advance
• Prices are as listed on our website and are exclusive of 18% GST
• Payments must be made by the agreed billing date each month
• Failure to make timely payment may result in service suspension
• Performance-linked fees are billed separately at the end of each month based on verified sales data
• Ad spend budgets are separate from our service fees and are paid directly by the Client to the advertising platforms

3. Client Responsibilities

To enable effective service delivery, the Client agrees to:

• Provide timely access to ad accounts, social media profiles, and relevant business information
• Maintain sufficient ad budget in connected advertising accounts
• Respond to strategy queries and review requests within 48 hours
• Provide accurate sales data required for performance fee calculations
• Ensure all brand assets, products, and business activities comply with applicable laws

4. Intellectual Property

All creatives, copy, designs, and content produced by CRID Marketing for the Client become the property of the Client upon receipt of full payment for that billing cycle. CRID Marketing retains the right to display work in its portfolio unless explicitly requested otherwise by the Client.

5. Confidentiality

Both parties agree to keep all shared business information, strategies, and data strictly confidential. This obligation survives the termination of the service agreement.

6. Performance Guarantee

Our ROAS guarantee applies under the condition that the Client maintains the recommended minimum ad budget, approves creatives in a timely manner, and provides access to all required platforms. CRID Marketing is not liable for performance shortfalls caused by client-side delays or budget restrictions.

7. Cancellation Policy

• The Client may cancel services with 30 days written notice after the initial 30-day period
• Cancellation requests must be submitted by email to hello@cridmarketing.com
• No refunds are issued for the current billing period upon cancellation
• CRID Marketing reserves the right to terminate services with immediate notice in cases of non-payment or breach of these Terms

8. Limitation of Liability

CRID Marketing's liability to the Client for any claim arising from these Terms is limited to the total fees paid in the preceding 30 days. We are not liable for indirect, incidental, or consequential damages including loss of revenue or profits beyond our direct control.

9. Changes to Services

CRID Marketing reserves the right to modify service offerings and pricing with 30 days advance notice to existing clients. Continued use of services after such notice constitutes acceptance of the updated terms.

10. Governing Law

These Terms are governed by the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of courts in Madhya Pradesh, India.
